GenStar Clinical Website Terms of Use

These Terms of Use govern your access to and use of GenStarClinical.com (the “Website”) and any related services provided by GenStar Clinical, a California company located at 5225 Wilshire Blvd. Ste. 1111, Los Angeles, CA 90036 (“GenStar,” “we,” “us,” or “our”). By accessing or using the Website, you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Website.

  1. Important notice about scope and purpose
  • The Website is intended for informational and commercial purposes related to GenStar’s governance, staffing, and government-contract operations in the field of gastroenterology. It is not a platform for direct patient care or personal medical treatment.
  • Use of the Website is for personal use only. You may not scrape, data-mine, or extract data from the Website by automated means or in contravention of these Terms.
  • GenStar owns all data, ideas, concepts, and materials that users may supply or submit to the Website (see Section 6: User-Generated Content). All such submissions become the property of GenStar.
  1. Modifications; acceptance
  • GenStar may revise these Terms at any time by posting updated terms on the Website. Your continued use of the Website after any changes constitutes acceptance of the revised Terms. If you do not agree to the changes, discontinue use of the Website.
  • We may modify, suspend, or terminate the Website or any portion thereof at any time for any reason without liability.
  1. Eligibility; account and security
  • The Website is intended for lawful use by individuals and entities related to GenStar’s contracts with government facilities, clinics, and hospitals. By using the Website, you represent and warrant that you have the authority to access the content and that your use complies with applicable laws.
  • No user accounts are required for standard Website access. If GenStar provides a login or account functionality in the future, you must keep your credentials confidential and notify us of any breach. GenStar reserves the right to suspend or terminate any account at its sole discretion.
  1. Ownership and license of Website content
  • All content on the Website, including text, graphics, logos, images, artwork, videos, and software, is owned by GenStar or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.
  • You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Website for your personal use in accordance with these Terms. This license does not permit modification, replication, distribution, public display, or commercial use of the Website content except as expressly authorized by GenStar in writing.

  • You may not engage in any activity that interferes with or disrupts the Website, including tampering with, hacking, reverse engineering, or bypassing security measures.
  • You may not use automated means (including bots, crawlers, data mining, or scraping tools) to access, monitor, or copy any part of the Website or its content, except with GenStar’s express written consent.
  • You may not use the Website to transmit, store, or publish content that is unlawful, harmful, defamatory, harassing, tortious, obscene, or otherwise objectionable, or that infringes the rights of others.
  • You may not collect personal data from other users without their explicit consent.
  • You may not attempt to impersonate GenStar, its employees, contractors, or other users.
  1. User-generated content
  • By submitting content to the Website (through forms, inquiries, email, or other communications), you acknowledge and agree that GenStar is the sole owner of such content as described in Section 4.

  • To the maximum extent permitted by law, GenStar disclaims all warranties, including but not limited to: merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
  • GenStar does not warrant that the Website will be accurate, complete, reliable, current, or free from errors, or that defects will be corrected. GenStar disclaims any responsibility for disclosures or information provided by third-party services linked from the Website.
  • GenStar does not guarantee the security or privacy of any information transmitted through the Website, and you acknowledge that any information you provide may be accessed by unauthorized persons. You use the Website at your own risk.
  1. Limitation of liability
  • To the fullest extent permitted by law, GenStar, its affiliates, officers, directors, employees, agents, and contractors will not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, data, or use, arising out of or in connection with your use of the Website or these Terms, regardless of the legal theory on which such claim is based (contract, tort, negligence, strict liability, etc.).
  • GenStar’s total liability for direct damages arising out of or in connection with these Terms or the Website shall not exceed the lesser of (i) the amount you paid GenStar (if any) for the relevant service and (ii) $100. The foregoing limitations shall not apply to liability arising from gross negligence, willful misconduct, or any other liability that cannot be lawfully limited or excluded.
  1. Indemnification
  • You agree to indemnify, defend, and hold harmless GenStar and its affiliates, officers, directors, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Website, your violation of these Terms, your submission of content, or your infringement of any third-party rights.
  1. Third-party links; no endorsement
  • The Website may contain links to third-party sites or services. GenStar does not endorse or assume responsibility for the content, accuracy, or practices of any third party. Use of third-party sites is at your own risk, and you should review their terms and privacy policies.
  1. Privacy policy integration
  • Your use of the Website is also governed by GenStar’s Privacy Policy. Please review the Privacy Policy for details about data collection, use, and security. In the event of any inconsistency between these Terms and the Privacy Policy, the Privacy Policy shall control with respect to privacy-related matters.
  1. Governing law; venue; arbitration
  • These Terms and your use of the Website are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
  • Any dispute arising from or relating to these Terms or the Website shall be resolved exclusively in the state or federal courts located in Los Angeles County, City of Los Angeles, California. You consent to personal jurisdiction and venue in those courts.
  • If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect. No failure or delay by GenStar in exercising any right under these Terms operates as a waiver of that right.
  1. Medical information and disclaimers
  • The Website is not intended to provide medical advice or serve as a substitute for professional medical judgment, diagnosis, or treatment. If you have medical concerns, consult a licensed physician or healthcare provider. Do not rely on information on the Website for medical decisions.
  • GenStar’s involvement with GI procedures or testing occurs under contractual relationships with government facilities and healthcare organizations. The Website does not create patient-physician relationships or authorize the performance of clinical services via the Website.
  1. Changes to the Terms
  • GenStar may modify these Terms at any time by posting the revised terms on the Website. Your continued use of the Website after any changes constitutes acceptance of the modified Terms. If applicable, we will provide notice of material changes as required by law.
  1. Entire agreement; waiver; severability
  • These Terms constitute the entire agreement between you and GenStar regarding your use of the Website and supersede all prior agreements or understandings, whether written or oral.
  • No failure or delay by GenStar in exercising any right under these Terms will operate as a waiver of that right.
  • If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

  • Provisions that by their nature should survive termination (including ownership, license to content, indemnification, limitations of liability, and governing law) will survive any termination of these Terms.
